Terms of Use

1. Agreement
By using Musical Beings Studio you agree to these terms. If you do not agree, do not use the platform.
2. Beta Service
Musical Beings Studio is currently in beta. This means:
- Features may change, be added, or be removed without notice
- The service may experience interruptions or data loss
- The service is provided as-is with no guarantees of availability or reliability
- To the maximum extent permitted by applicable law, we are not liable for any loss of data, content, or access during the beta period
We will notify users when the beta period ends. At that time, these terms will be updated and you will be asked to review and accept the updated terms to continue using the platform.
3. Eligibility
You must be 13 years or older to create an account. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these terms on your behalf.
4. Your Account
- Sign in via a supported provider (Google, email)
- You are responsible for your account security
- One account per person
- Provide accurate information
- If you pair a Musical Beings instrument, the device may send usage telemetry (see Privacy Policy, Section 2). You can opt out in your device settings.
5. Your Content — You Own It
You retain full ownershipof all audio content you create, upload, or record through the platform — including projects, sessions, samples, loops, recordings, and arrangements.
You grant Musical Beings a limited, non-exclusive license to store, process, deliver your content back to you, and display it within the platform as part of the service (e.g., leaderboards, community features, shared arrangements). We only display your content to other users when you choose to share it or participate in features that involve sharing. We do not sell, sublicense, or redistribute your content outside the platform.
Your responsibility: you are responsible for ensuring you have the rights to any content you upload, and for ensuring your recordings do not contain private or sensitive information belonging to others.
Upload settings: during onboarding you choose whether recordings auto-upload or require manual action. You can change this at any time.
6. Session Event Data — License Grant
When you use the platform, we record session event data: the actions you take, including musical performance data (note sequences, timing, velocity) and platform interaction data (feature usage, navigation, session duration). This does not include your audio recordings.
You retain the underlying rights to your session event data, including any musical performance data it contains. However, you grant Musical Beings Inc. a perpetual (subject to applicable law and user rights), worldwide, royalty-free, non-exclusive license to use, copy, modify, and create derivative works from your session event data for the following purposes:
- Recreate sessions as video/visual replays for your benefit
- Generate shareable assets from your sessions
- Improve the platform and build new features
- Train AI and machine learning models (e.g., rhythm analysis, music generation)
- Power premium features and services, including services offered to third parties
Musical Beings Inc. owns all anonymized, aggregated, or model-derived outputs created from session event data. These outputs are designed so that no individual user's musical compositions can be reasonably reconstructed from them.
For users in the EEA/UK, the license for AI/ML training purposes may be revoked as described in our Privacy Policy, Section 12. Revocation does not affect the license for platform operation purposes (replays, sharing, feature delivery), which remains in effect while your account is active.
Session event data collection for platform operation (replays, sharing, feature improvement) is a core part of how Musical Beings works and is necessary to provide the service. AI/ML training use is covered under our Privacy Policy; European users may withdraw consent for AI/ML training specifically.
7. Kit Content License
Musical Beings provides audio content (kits, samples, sounds) through the platform. This content is licensed to you as follows:
- Allowed:use kit content in your own musical compositions, productions, and releases — royalty-free
- Not allowed: resell, redistribute, or sublicense kit content as standalone samples, sample packs, or sound libraries
- Kit content licenses terminate when your account is deleted. For Pro-only content, the license also ends when your Pro subscription ends. Free content remains accessible as long as your account is active.
- Survivability: licenses for kit content already incorporated into your published or released works at the time of termination survive that termination. You do not need to recall or delete released music that uses kit content. Unpublished projects containing Pro kit content will remain accessible in read-only mode after your Pro subscription ends, but you will not be able to create new projects using Pro-only content until you resubscribe.
8. Collaboration & Co-Created Content
The platform may offer features that allow users to collaborate on shared projects or tracks. When you collaborate:
- Each collaborator retains ownership of the content they individually contribute
- Co-created works are jointly owned by all contributors unless the collaborators agree otherwise
- Musical Beings does not claim ownership of co-created content
- Collaborators are responsible for resolving any disputes about ownership or credit between themselves
- The license you grant Musical Beings under Section 5 (content) and Section 6 (session data) applies to your contributions to collaborative works
Specific collaboration features may have additional terms presented at the time of use.
9. Activities & Submissions
From time to time we may run community activities open for user submissions (remix contests, challenges, etc.). Each activity will have its own submission terms governing how submissions are used. The activity-specific terms govern those submissions.
10. Acceptable Use
You agree not to:
- Use the platform for any illegal purpose
- Upload malicious files or attempt to compromise platform security
- Impersonate others or create fake accounts
- Access other users' accounts or data
- Reverse-engineer or scrape the platform
- Use the platform to infringe on others' intellectual property
11. Subscriptions & Payments
- The platform offers content free to all Musical Beings customers; some content requires a Pro subscription
- Payments processed by Stripe
- Subscription terms and pricing presented at time of purchase
- Subscriptions auto-renew unless cancelled before the current billing period ends
- You can cancel your subscription at any time; access continues until the end of the current billing period

12. Feedback
If you submit feedback, bug reports, or feature suggestions through the platform, you grant Musical Beings Inc. a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the platform and our products without obligation or compensation.
13. Suspension & Termination
- We may suspend or terminate accounts that violate these terms
- You may request deletion of your account at any time by contacting us — this triggers permanent deletion of your personal data and audio content per our Privacy Policy
- Certain data is retained after deletion as described in our Privacy Policy: financial records (tax law), audit logs (platform integrity), admin notes (denormalized), and session event data (anonymized or aggregated form only)
14. Intellectual Property
Musical Beings Inc. owns the platform, its design, code, branding, and all non-user-generated content. Kit content is licensed per Section 7. Co-created content is addressed in Section 8.
15. Copyright & DMCA
We respect intellectual property rights. If you believe content on the platform infringes your copyright, contact us at soundcheck@musicalbeings.com with:
- A description of the copyrighted work
- The location of the infringing content on our platform
- Your contact information
- A statement that you have a good-faith belief the use is unauthorized
- A statement under penalty of perjury that your notice is accurate
We will review and respond to valid notices promptly, including removing infringing content where appropriate.
16. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Musical Beings Inc. from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) content you upload or create on the platform, (b) your violation of these terms, or (c) your violation of any third party's rights, including intellectual property rights.
17. Disclaimers
The service is provided “as is” without warranties of any kind, express or implied. We do not guarantee uninterrupted service, data preservation, or fitness for any particular purpose. During the beta period, these disclaimers apply with full force.
18. Limitation of Liability
To the maximum extent permitted by law, Musical Beings Inc.'s total liability for any claims arising from your use of the platform is limited to the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater. We are not liable for indirect, incidental, or consequential damages, including loss of data or content.
19. Changes
We may update these terms. Continued use after changes constitutes acceptance. Material changes — including any changes to how we use session event data, your audio content, or AI/ML training scope — will be communicated via the platform or email with at least 30 days' notice.
20. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Disputes shall be resolved in the state or federal courts located in Delaware.
21. General
- Entire agreement: These terms, together with our Privacy Policy, constitute the entire agreement between you and Musical Beings Inc. regarding your use of the platform.
- Severability: If any provision of these terms is found unenforceable, the remaining provisions remain in full effect.
- No waiver: Our failure to enforce any provision does not waive our right to enforce it later.
- Assignment: We may assign these terms to a successor entity in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these terms without our consent.
